Terms and Conditions for Eggs Benedict Tech LLC

Welcome to Eggs Benedict Tech LLC ("EBT," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website (www.eggsbenedict.tech), products, and services, including but not limited to our AI-Powered STEAM Learning Web Service, AI Homeroom, our AI chatbot tutors like Sparky, and any associated features, content, applications, or technologies (collectively, the "Services").

By accessing or using any part of our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

1.1 Binding Agreement: These Terms constitute a legally binding agreement between you and Eggs Benedict Tech LLC.

1.2 Eligibility: You must be at least 18 years old or the age of legal majority in your jurisdiction to agree to these Terms. If you are under 18, you must have the explicit consent of a parent or legal guardian who agrees to be bound by these Terms. Our Services are intended for a family-friendly audience, with a particular focus on elementary students.

2. Services Overview

2.1 Family-Friendly Technology & Learning: EBT is a family business dedicated to providing joy, fun, and learning through relevant technologies to families. We are transitioning from e-commerce of physical products to digital products and services powered by AI.

2.2 AI Homeroom: Our primary digital service is the "EBT AI Homeroom: AI-Powered STEAM Learning Web Service," designed to create a personalized, engaging, and safe AI-powered STEAM learning resource for elementary students, leveraging multiple chatbot tutors.

2.3 AI Chatbot Tutors: Our Services include AI chatbot tutors, such as Sparky, our flagship AI math companion. Sparky specializes in elementary mathematics (Grades 1-5), acts as a homework helper, and offers epic story problems. These AI tutors are designed to provide personalized, engaging, and effective learning modules for each STEAM discipline.

2.4 Technology: Our Services primarily utilize Wix and Simplified.ai chatbots, with potential expansion to Google Intelligent Agents and Google Cloud/Vertex AI systems for scalability and security.

3. User Accounts

3.1 Account Creation: To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify EBT immediately of any unauthorized use of your account.

3.3 Child Accounts: For Services accessed by children under 13, a parent or legal guardian must create and manage the child's account.

4. Special Considerations for Child Users and Data Protection

Protecting children's privacy and ensuring a safe online learning environment is paramount to EBT. Our practices are guided by our commitment to safe, ethical, and transparent AI learning.

4.1 COPPA Compliance: We strictly comply with the Children's Online Privacy Protection Act (COPPA). We do not knowingly collect personal information online from children under 13 without verifiable parental consent or a recognized exception. If we learn that we have collected personal information from a child under 13 without proper consent, we will take steps to delete that information.

4.2 FERPA Compliance: We comply with the Family Educational Rights and Privacy Act (FERPA), which protects the privacy of student education records. Parents have certain rights with respect to their children's education records, including the right to inspect and review, and to request correction of, records.

4.3 Data Minimization and Security: We collect only the data strictly necessary for the AI Homeroom's specific educational context and purposes. All student data is stored securely with robust encryption and confidentiality measures.

4.4 No Chat Data for AI Model Training: We explicitly commit that student chat data from interactions with our AI tutors is never used to train or improve our AI models. This measure ensures conversations remain private and are not repurposed for model development.

4.5 Human-in-the-Loop Safeguards: Our AI tools are designed to augment and support teachers and parents, not to replace them. Humans remain in control, and our AI is designed to be inspectable, explainable, and overridable by educators.

4.6 Bias Mitigation: We proactively work to mitigate potential algorithmic bias in our AI systems to ensure fair and equitable learning experiences for all students. Our development includes continuous monitoring and disparity testing to prevent unfair treatment or impacts.

4.7 Transparency: We strive for transparency regarding our AI system functionality, data handling, and limitations, as outlined in our Privacy Policy and on our "Our Approach to AI Safety & Ethics" page.

5. Acceptable Use and Prohibited Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Services for any illegal, harmful, or fraudulent purpose.
Engage in any activity that could disable, overburden, or impair the proper working or appearance of the Services.
Attempt to gain unauthorized access to any part of the Services, accounts, or computer systems connected to the Services.
Use any robot, spider, or other automated means to access the Services for any purpose without our express written permission.
Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
Use the Services to train other AI models or similar technologies without explicit written permission from EBT.
Violate any applicable local, state, national, or international law or regulation.

6. Intellectual Property

6.1 Ownership: All content, features, and functionality within the Services, including but not limited to text, graphics, logos, images, audio clips, video clips, data, software, and the design and arrangement thereof, are the exclusive property of Eggs Benedict Tech LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. This includes our proprietary AI models and technologies, such as Sparky and the AI Homeroom's underlying architecture built with Google's Vertex AI.

6.2 Limited License: EBT grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for personal, non-commercial, and educational purposes only, strictly in accordance with these Terms.

6.3 Demo Usage: Any demo functionality provided (e.g., Sparky V4 demo) is for evaluation purposes only. You may not use demo interactions for commercial purposes or to train other AI models. No personal data is collected or stored from demo interactions.

7. Disclaimers

7.1 "As Is" and "As Available" Basis: The Services, particularly during the Early Access/Pilot Program (as defined in Section 7.4), are provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. You assume all risk associated with the quality and performance of the Services during this phase.

7.2 Accuracy of AI: While we strive for accuracy and our AI uses safely verified RAG-grounded materials, AI is an evolving technology. We do not warrant that the results of the Services, including AI tutor responses, will always be accurate, complete, reliable, or error-free. Human oversight is always required and recommended, and users can override AI decisions.

7.3 No Replacement for Human Teachers: EBT firmly rejects the idea that AI could replace teachers. Our Services are supplementary tools to assist and augment human teaching and learning.

7.4 Early Access, Beta Services, and Financial Risk Disclaimer By accessing the Services during the Early Access/Pilot Program (the "Beta Services"), you acknowledge and agree to the following additional risks:

A. Service Volatility: The Beta Services are pre-release, subject to ongoing testing, and may contain errors, defects, or security vulnerabilities that could lead to unexpected behavior, temporary downtime, or data loss. We are under no obligation to provide maintenance, technical support, or updates for the Beta Services.

B. Data Volatility and Reset: You agree that all non-essential user-generated data, including accumulated Points, Badges, Achievement Logs, and Session Progress, is subject to future deletion, modification, or full account reset without liability upon the conclusion of the Pilot Program or during system updates.

C. Feature Limitations: Features advertised for the final product may be unavailable, delayed, or removed during the Beta phase.

D. Funding Risk and Crowdsourcing: You acknowledge that Eggs Benedict Tech LLC is currently operating under a bootstrapping model and may seek voluntary crowd-sourced monetary support to continue development. Any voluntary monetary contribution (donation) made to EBT is not an investment, does not grant you any equity, and is non-refundable, regardless of the ultimate success or failure of the AI Homeroom platform.

8. Limitation of Liability

To the fullest extent permitted by law, in no event shall Eggs Benedict Tech LLC, its affiliates, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services (including the Beta Services); (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Indemnification

You agree to defend, indemnify, and hold harmless Eggs Benedict Tech LLC, its affiliates, licensors, and service providers, and its respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Oakland County, Michigan.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.

12. Pilot Program Specific Terms

Participation in any pilot programs (e.g., AI Homeroom Pilot Program) is subject to the specific risks and terms outlined in Section 7.4 (Early Access, Beta Services, and Financial Risk Disclaimer) and any additional specific terms and conditions outlined in the pilot program application and agreement. These pilot-specific terms will supplement, and where conflicting, may override these general Terms for the duration of your participation in the pilot.
